In Charlotte, NC, a trust fund interview is usually about one question: who had the duty and power to decide whether withheld payroll taxes were collected and paid over. The best preparation is document-led. Bring records that show how payroll decisions were made, who signed returns and checks, and whether the business used available funds to pay other creditors instead of the IRS.

Start with the records that show control, not just job titles

The IRS looks beyond titles when evaluating possible personal exposure. Under IRM 5.7.4 and the IRS TFRP guidance, responsibility turns on whether a person exercised independent judgment over collecting, accounting for, and paying trust fund taxes. That means your interview should be supported by documents showing actual authority, such as bank signature cards, canceled checks, payroll registers, corporate resolutions, ownership records, and internal emails or instructions about who approved payments.

It also helps to gather employment tax returns, deposit confirmations, Forms 941, payroll service agreements, and any notices showing when the tax problem began. If a payroll service provider handled some tasks, bring the contract and correspondence so the IRS can see which duties were outsourced and which remained with the business. A missing document is not fatal, but if a record does not exist, be prepared to explain why.

Focus on the two separate issues the IRS is trying to answer

The interview is not only about whether tax is unpaid. It is also about whether a specific person was responsible and acted willfully. The IRS says using available funds to pay other creditors when the business could not pay employment taxes can indicate willfulness. At the same time, an employee who only paid bills as directed by a supervisor is not automatically a responsible person.

That distinction matters for business payroll liabilities and personal exposure. A business can remain open and still face a TFRP investigation, so do not assume continuing operations eliminates the issue. In a hypothetical example, a bookkeeper who merely processed payments after the owner selected which bills were paid would present a very different record than a manager who had authority to choose whether payroll taxes or vendors got paid. The interview should be organized around those decision points, not around general frustration with the tax debt.

Prepare for the Form 4180 discussion and possible third-party follow-up

The IRS may use Form 4180, Report of Interview with Individual Relative to Trust Fund Recovery Penalty or Personal Liability for Excise Taxes, to record answers about duties, authority, and payment decisions. If the revenue officer already knows the identity of other potentially responsible persons and plans to contact third parties for supporting documents, IRM 5.7.4 says Letter 3164-A should be issued before interviews are conducted. If additional potentially responsible persons come up during the interview, the IRS can continue the interview, but should avoid probing questions about the newly identified person until required notice periods are met.

For your own preparation, review board minutes, ownership changes, who handled banking, who made deposit decisions, and whether anyone else had effective control over cash flow. If you do not know an answer, say so plainly rather than guessing. The IRS is testing credibility as much as memory. A complete record set is more useful than a polished explanation without documents.

Use the interview to narrow the issue and plan the next step

A practical next step is to build a short chronology: when payroll taxes started going unpaid, who was in charge during each quarter, what cash was available, and what was paid instead. Then compare that chronology with the IRS account transcripts and business records. If the business has multiple periods or a single-member owner and LLC were involved in different periods under the same EIN, IRM 5.7.4 notes that separate ATFR handling may be needed.

If the case is still in the investigation stage, a document review before the interview can help you answer consistently and avoid overstatement. If the IRS raises trust fund issues in Charlotte, Mecklenburg County records may help confirm ownership or filing history, but county clerks do not decide federal collection relief. An IRS Taxpayer Assistance Center also is not automatically the right collection office. When the facts are organized, the interview becomes a controlled review of records rather than a guessing exercise.

Questions about Preparing for an IRS trust fund interview

What should I bring to an IRS trust fund interview?

Bring payroll tax returns, bank records, signature cards, payroll registers, owner or officer documents, payroll service contracts, and any notices or transcripts showing the unpaid periods. The goal is to show who controlled payments and what happened to available funds.

Does being an owner automatically make me personally liable?

No. The IRS looks at responsibility and willfulness, not title alone. Ownership may matter, but the key question is whether you had authority and control over collecting and paying the trust fund taxes.

Can a payroll service provider take the issue off my shoulders?

Not necessarily. Outsourcing payroll does not eliminate the TFRP inquiry if the business or an individual still controlled funding, approval, or payment decisions. Bring the service agreement and related correspondence so the IRS can see the split of duties.
