In West Seneca, NY, an IRS trust fund interview is a records-driven review of payroll decisions, not a title check. The IRS is looking at whether unpaid withheld taxes came from a business failure and whether a person may be personally liable under the Trust Fund Recovery Penalty rules in IRM 5.7.4. The best preparation is to bring proof of who controlled payroll, who chose which creditors were paid, and whether the business can still resolve the tax debt.

Start with control, not job title

The IRS focus is whether a person had the duty and power to direct collecting, accounting for, and paying trust fund taxes. That can include an officer, owner, director, manager, or another person with authority over business funds. A formal title helps only if it matches actual decision-making.

Do not assume the interview is limited to the person whose name appears on the payroll account. IRM 5.7.4 says the IRS can investigate and recommend the penalty against potentially responsible persons. If more than one person handled finances, the IRS may ask about each person’s role separately.

A useful first step is to make a short timeline of payroll periods, deposits made, missed deposits, who approved payments to vendors, and when the business learned taxes were unpaid. This helps separate ordinary bookkeeping from the decision to pay other creditors instead of the IRS.

Bring records that answer the responsibility question

The most helpful documents are the ones that show how money was actually controlled. Bring bank signature cards, canceled checks or payment reports, payroll journals, deposit histories, corporate resolutions, emails or texts about bills being paid, and any bookkeeping access records that show who could move funds.

If you used a payroll service provider, bring the service agreement, account setup records, and statements showing what the provider did and what the business still controlled. IRS guidance in the TFRP page notes that outsourced payroll does not automatically remove exposure; the question remains who had authority and knowledge.

Also bring the IRS notices, prior correspondence, and any filed returns that show whether the business is current on employment tax filing requirements. If the business is still operating, that fact does not by itself stop a TFRP inquiry, because the IRS can pursue the penalty even while the business continues.

Know what the interview can and cannot decide

A trust fund interview is meant to develop the facts for a decision, not to punish a person on the spot. Under IRM 5.7.4, the IRS may use Form 4180 to record the interview, and the file should contain the core documentation supporting any recommendation. If the IRS needs more information, the interview may expand, but it should still stay tied to the trust fund issue.

The interview can also narrow the case. If the records show the business made a credible plan to resolve the unpaid trust fund balance and the person lacked real payment authority, that may affect the IRS recommendation. But no result is guaranteed, and the IRS can still continue its review if the facts support it.

One important limit: this interview is about federal employment taxes. It is not the same as a state tax matter, and New York State tax agencies have their own separate roles. Erie County public records may help with business document history, but county clerks do not decide federal collection relief.

Practical next step before the meeting

Before the interview, prepare a one-page summary with four items: who handled payroll, who approved payments, what trust fund taxes are unpaid, and what records support your version of events. If there are gaps, note them honestly rather than guessing.

If the IRS has already scheduled the interview, review whether a payment plan or another resolution was discussed. IRM 5.7.4 notes that in some situations the IRS may waive Form 4180 when an immediate payment resolution is already agreed upon during initial contact, but that is fact-specific and not automatic.

If you are unsure whether your role creates personal exposure, a case review before the interview can help you focus on the right documents and avoid inconsistent answers. Keep the discussion anchored to what you actually did, what you could control, and what the books show. A hypothetical example: if one person signed payroll returns but another person controlled which creditors got paid, the records should show who made that payment choice, not just whose name was on the filing.

Questions about Preparing for an IRS trust fund interview

Does a business have to close before the IRS can assess TFRP?

No. IRS guidance says the business does not have to stop operating for the TFRP to be assessed. The key issue is whether unpaid trust fund taxes cannot be immediately collected from the business and whether a person was responsible and willful.

Is being a bookkeeper enough to make me personally liable?

Not by itself. The IRS looks at whether you had independent judgment over the business’s finances, not just whether you entered bills or processed payments as directed by someone else.

Should I bring proof that the taxes were eventually paid?

Yes, if available. Payment records, deposit histories, and account transcripts help show what happened and when. But later payment does not automatically erase the interview issue, because the IRS is still evaluating responsibility and willfulness for the unpaid period.
