In Henderson, NV, a proposed TFRP assessment response letter calls for a document-led review, not a guess about who “seems responsible.” The IRS is asking whether you were a responsible person and whether the unpaid trust fund taxes can be assessed against you personally. Under IRM 5.7.6, your next move is to compare the letter, Form 2751, and payroll records before you decide whether to protest, ask for informal review, or consider mediation.

What the IRS is testing in a proposed TFRP case

The Trust Fund Recovery Penalty is tied to trust fund taxes that were withheld or collected but not paid over. The business does not have to shut down before the IRS can propose the penalty. The central question is personal exposure: whether you had enough authority and independent judgment over the business’s finances to qualify as a responsible person.

That is why the IRS interview and the proposed assessment package matter so much. If your role was limited to following instructions, paying bills as directed, or handling narrow tasks without deciding which creditors to pay, those facts can be important. But titles alone are not enough. The file should show what you actually did, what you controlled, and what decisions you could make.

How to read Letter 1153 and Form 2751 together

Letter 1153 starts the response clock. IRM 5.7.6 says a responsible person has 60 days from mailing or personal delivery to respond, or 75 days if the letter was addressed outside the United States. A timely protest should be mailed or sent by certified or registered mail so the mailing date can be proven. A private postage meter stamp is not enough by itself.

Form 2751 is the proposed assessment form. Signing it does not erase appeal rights immediately, and the case is not treated as agreed until the response period expires. If you sign and later change your mind within the allowed period, the record still matters. The practical point is to avoid confusing a proposed amount with a final assessed debt. They are not the same stage.

Records that usually help the most

A good Henderson case review is built from payroll and authority records, not conclusions. Start with bank signature cards, corporate resolutions, payroll service agreements, canceled checks, internal emails about tax deposits, and any Form 4180 interview notes. Those records help show who had authority to decide which creditors were paid and who handled employment tax deposits.

Also compare the quarters at issue to the payroll returns and deposit history. If the proposed amount does not match the unpaid trust fund portion, that is a separate issue from whether you were responsible. If you used a third-party payroll service, the IRS still looks at who controlled the business decisions. Outsourcing payroll does not automatically remove personal exposure.

Choosing the right response path

If you believe the proposal is wrong, a formal written protest can preserve appeal rights when filed on time. IRM 5.7.6 also allows informal review, and the IRS may consider Fast Track Mediation – Collection if both sides agree and the required interview and documentation are complete. Mediation is not automatic, and both the responsible person and the revenue officer must agree to use it.

If your protest is late, the IRS will not treat it as a timely appeal of the proposed TFRP. In that situation, the case may move forward for assessment, even if you still disagree. That is why the practical next step is to build the response around the deadline first, then the facts. A short, organized file that explains your role, attaches the strongest records, and clearly states your position is often more useful than a long narrative.

Questions about A proposed TFRP assessment and its response letter

Does signing Form 2751 mean I lose my appeal rights?

Not immediately. Under IRM 5.7.6, a signature on Form 2751 does not extinguish appeal rights while the Letter 1153 response period is still open. The deadline and the manner of filing still matter.

Can I argue that a payroll company was responsible instead of me?

You can explain the payroll setup, but outsourcing payroll does not automatically remove personal exposure. The IRS still looks at who had authority over financial decisions and tax deposits, so your records should show your actual role.

What is the difference between informal review and Fast Track Mediation – Collection?

Informal review is a direct discussion of the proposed assessment with the IRS. Fast Track Mediation – Collection is a separate process that can be used only if both sides agree, and it requires the interview and supporting documents to be in place first.
